1 Definitions
1.1 Matesub
Matesub is an online subtitling web tool that offers valuable suggestions during the transcription and translation process. The Website is a hosted version of Matesub operated by Translated srl (“We”, “Us”, “Our”, “Ours”). These terms of use (the Terms and Conditions of Use) refer to the latter. The Website is the property of Translated srl. By accessing or using the Website you confirm your acceptance of these Terms and Conditions of Use and your agreement to be bound by them. If you do not accept these Terms and Conditions of Use, do not use this Website. We reserve the right to terminate or suspend your access or use of the Website if either: (a) we reasonably consider that you have breached these Terms and Conditions of Use, or (b) we consider it necessary to do so for security purposes.
Matesub provides a facility to upload a user-provided input video, referred to as “original”, and generate and/or edit subtitles which can be exported in multiple formats selected by the User, referred to as “downloaded”.
From the video, internally, the audio is transcoded to extract the audio, which is then used to generate an automatic transcription, referred to as “ASR”. The ASR is then used to generate a set of automatically spotted and machine-translated subtitles in one or more user-selected target languages, each one tagged with a time code, formatting information and other metadata.
1.2 Account
An “Account” represents your relationship with Matesub. A “User Account” represents an individual User’s authorization to log in to and use the Service and serves as a User’s identity on Matesub.
1.3 Service
The “Service” (the “Tool”, the “Editor”) refers to the applications, software, products, and services provided by Matesub, including any Beta Previews.
1.4 User
“The User,” “You,” and “Your” refer to the individual person, company, or organization that has visited or is using Matesub; that accesses or uses any part of the Account, or that directs the use of the Account in the performance of its functions. A User must be at least 18 years of age.
1.5 Content
“The Content” in Matesub refers to the videos, the reference files, the guidelines or any other custom information provided by the Matesub user interface with the exclusion of Personal Data ( see Privacy Policy for the definition of “Personal Data”).
1.6 Month and Monthly
“Month” and “monthly” always mean 30 days when referring to subscriptions and billing terms. So, for example, if a User subscribes on January 01, the plan will be automatically renewed on January 31.
2 Account Terms
2.1 Account Controls
Subject to these Terms, the User retains the ultimate administrative control over the User Account and the Content within it.
2.2 Required Information
The User must provide a valid email address in order to complete the signup process. Disposable or temporary email address are not allowed. Any other information requested, such as the real name, is optional, unless the User is accepting these terms on behalf of a legal entity (in which case we need more information about the legal entity) or if he/she opts for a paid Account, in which case additional information will be necessary for billing purposes.
2.3 Account Requirements
We kindly request that you adhere to the following rules and regulations to ensure a positive user experience for everyone on Matesub. These guidelines are in place to protect the interests of our users and maintain the quality and integrity of our platform. Thank you for your cooperation and commitment to being a responsible member of our community.
2.3.1 The User must be a human to create an Account. Accounts registered by “bots” or other automated methods are not permitted.
At Matesub, we value genuine human interaction and aim to create an authentic community. To ensure the integrity of our platform, we require that all User Accounts are created by individuals and not by automated means such as “bots” or other similar automated methods. This policy helps us maintain a user base comprised of real people, fostering meaningful connections and interactions.
2.3.2 One person or legal entity may maintain no more than one free Account.
To maintain fairness and prevent misuse of our services, Matesub allows each individual or legal entity to hold only one free Account. This rule ensures that all users have equal opportunities and resources available to them. By limiting the number of free Accounts per person or legal entity, we promote an inclusive environment where all users can engage with our platform on an equitable basis.
2.3.3 The User must be age 18 or older.
Matesub is intended for users who are 18 years of age or older. By setting this age requirement, we prioritize the safety and compliance of our platform with legal regulations. We want to ensure that our content and interactions are suitable for mature audiences, creating a responsible environment that caters to the needs and expectations of adult users.
2.3.4 Sharing your account login information with other individuals is strictly prohibited.
To safeguard the privacy, security, and accountability of each user’s account, it is strictly forbidden to share your account login information with any other individuals. Sharing login credentials compromises the individuality and integrity of your account, posing potential risks to your personal information and activities on Matesub. By refraining from sharing your account login information, you contribute to maintaining a secure and reliable environment for all users.
2.4 User Account Security
The User is responsible for keeping his/her Account secure while using Matesub.
- The User is responsible for maintaining the security of his/her Account and password. Matesub cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
- The User will promptly notify Matesub if he/she becomes aware of any unauthorized use of, or access to, our Service through his/her Account, including any unauthorized use of your password or Account.
3 Acceptable Use
Your use of the Website and Service must not violate any applicable laws, including copyright laws, trademark laws, or other laws in your jurisdiction. You are responsible for making sure that your use of the Service is in compliance with laws and any applicable regulations.
You agree that you will not under any circumstances violate the following Acceptable Use Policies.
We do not allow content or activity on Matesub that:
- is unlawful or promotes unlawful activities;
- relates to sexual exploitation or abuse, including of minors. We do not tolerate content associated with sexual exploitation or abuse of another individual, including where minors are concerned.
- share, disclose, or otherwise provide others with your Matesub account login information. Such actions are considered a breach of our terms and can lead to immediate suspension or termination of your account.
Translated reserves right to terminate or suspend the Account according to the article ( 6.3 - Matesub May Terminate)
4 Content
4.1 Ownership of Content, Right to Uploads, and License Grants
The User retains ownership of and responsibility of his/her Content.
If you’re uploading anything you did not create yourself or do not own the rights to, you agree that you are responsible for any Content you upload to Matesub; that you will only submit Content that you have the right to post; and that you will fully comply with any third-party licenses relating to Content you submit.
Because you retain ownership of and responsibility for your Content, we need you to grant us certain legal permissions, listed in Sections 4.2 and 4.3 These license grants apply to Your Content. You understand that you will not receive any payment for any of the rights granted in Sections 4.2 and 4.3. The licenses you grant to us will end when you will ask to remove Your Content from our servers.
4.2 License Grant to Us
We need the legal right to do things like host Your Content, publish it in the Editor. You grant us and our legal successors the right to store, archive, parse, and display Your Content, and make incidental copies, as necessary to provide the Service, including improving the Service over time. This license includes the right to do things like copy it to our database and make backups; show it to you and other users (selected and authorized by you); parse it into a search index or otherwise analyze it on our servers. Moreover, the license allows our support and IT teams to access Your Content if you ask us for help via any support channel (e.g. email or dedicated chat) in order to provide you a better service and/or resolve your issues.
This license does not grant Matesub the right to sell Your Content. It also does not grant Matesub the right to otherwise distribute or use Your Content outside of our provision of the Service.
4.3 License Grant to Other Users
In Matesub, if you subscribe to a paid plan with the shareable editor links feature enabled, you can share those links to allow other users - you shared the link with - to access your Content and eventually work on subtitles in the editor. In this case, you agree to allow other users to view and modify your Content.
If you are uploading Content you did not create or own, you are responsible for ensuring that the Content you upload is licensed under terms that grant these permissions to other Matesub users.
5 Payment
5.1 Free plans
We reserve the right, at our sole discretion, to cancel Free plans (e.g. “Starter” plan), reduce/modify their scope and usage, or discontinue offering Free plans altogether at any time. Translated shall have no liability to the User or any third party for any such termination, reduction/modification, or discontinuance Translated may terminate, reduce, suspend, change the scope/content of, or discontinue the Free plans at any time, including (but not limited to) for any of the following reasons:
- (a) provision of false or incomplete information by the User to Translated;
- (b) misuse of the Free plan;
- (c) changes to Matesub’s business model (e.g., discontinuation of the Free Services or change in scope).
5.2 Pricing
Our pricing and payment terms are available at
matesub.com/pricing. The monthly plans you can see on our pricing page auto-renew every 30 days since the day you subscribe.
If you agree to a subscription price, that will remain your price for the duration of the payment term; however, prices could be subject to change at the end of a payment term.
5.3 Upgrades, Downgrades, and Changes
- You may change your level of service at any time by choosing a plan option or going into your Account Settings.
- We will immediately bill you when you upgrade from the free plan to any paying plan, or from a paying plan to another paying plan having a higher subscription price;
- If you upgrade to a higher level of service, we will bill you for the upgraded plan immediately with a prorated discount calculated on the remaining days of your previous plan.
- If you choose to downgrade your Account, we will downgrade your account at the beginning of the next billing cycle. Notice that when downgrade will happen, you may lose access to the features or capacity associated with your previous subscription plan.
5.4 Billing Schedule; No Refunds
Payment based on a plan for monthly payment plans, the Service is billed in advance on a monthly basis and is non-refundable. There will be no refunds or credits for partial months of service, downgrade refunds, or refunds for months unused with an open Account unless the User is upgrading his/her plan ( see 5.3)
However, the Service will remain active for the length of the paid billing period.
If the Matesub payment system will not be able to automatically charge the User at the beginning of the billing cycle, it will try for the next 7 days. If during the 7 days period it is not possible to charge the User, the Account will be downgraded to the “Starter” plan. No project will be lost, but some features could be no longer available due to the downgrade of the plan.
The User agrees to pay the fees in full, upfront without deduction or setoff of any kind, in Euros. Amounts payable under this Agreement are non-refundable, except as otherwise provided in this Agreement. User is solely responsible for all taxes, fees, duties and governmental assessments that are imposed or become due in connection with this Agreement.
5.5 Authorization
By agreeing to these Terms, you are giving us permission to charge your on-file credit card, or other approved methods of payment for fees that you authorize for Matesub service.
5.6 Responsibility for Payment
You are responsible for all fees, including taxes, associated with your use of the Service. By using the Service, you agree to pay Translated any charge incurred in connection with your use of the Service. If you dispute the matter, contact Matesub Support. You are responsible for providing us with a valid means of payment for paid Accounts. Free Accounts are not required to provide payment information.
6 Cancellation and Termination
6.1 Account Cancellation
It is your responsibility to properly request via email or website chat the cancellation of your Account with Matesub. The Matesub Team will promptly notify you of the cancellation of the account.
6.2 Upon Cancellation
We will retain and use your information as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements, but barring legal requirements, we will delete your full profile and the Content of your repositories within 90 days of cancellation or termination (though some information may remain in encrypted backups). This information can not be recovered once your Account is cancelled.
6.3 Matesub May Terminate
Matesub has the right to suspend or terminate your access to all or any part of the Website at any time, with or without cause (see 3 Acceptable Use), with or without notice, effective immediately. Matesub reserves the right to refuse service to anyone for any reason at any time.
6.4 Survival
All provisions of this Agreement which, by their nature, should survive termination will survive termination — including, without limitation: ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
7 Governing Law
Any claim relating to Matesub shall be governed by Italian law without regard to its conflict of law in other countries.
8 Limitation of Liability
You understand and agree that we will not be liable to you or any third party for any loss of profits, use, goodwill, or data, or for any incidental, indirect, special, consequential or exemplary damages, however arising, that result from:
- the use, disclosure, or display of your User-Generated Content with other users you choose;
- your use or inability to use the Service;
- any modification, price change, suspension or discontinuance of the Service;
- the Service generally or the software or systems that make the Service available;
- unauthorized access to or alterations of your transmissions or data;
- statements or conduct of any third party on the Service;
- any other user interactions that you input or receive through your use of the Service; or
- any other matter relating to the Service.
Our liability is limited whether or not we have been informed of the possibility of such damages, and even if a remedy set forth in this Terms of Service is found to have failed of its essential purpose. We will have no liability for any failure or delay due to matters beyond our reasonable control.
9 Changes To These Terms
We reserve the right, at our sole discretion, to amend these Terms of Service at any time and will update these Terms of Service in the event of any such amendments. We will notify our Users of material changes to this Agreement, such as price increases, at least 30 days prior to the change taking effect by posting a notice on our Website or sending email to the primary email address specified in your Matesub account. Customer’s continued use of the Service after those 30 days constitutes agreement to those revisions of this Agreement. For any other modifications, your continued use of the Website constitutes agreement to our revisions of these Terms of Service.
We reserve the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Website (or any part of it) with or without notice.
